TETHER PRODUCTS AI CHATBOT TERMS

The following terms and conditions (the “Tether Products AI Chatbot Terms”) govern your access to, and use of, our chatbot that enables users to make inquiries about certain products made available under Tether or related brands (“Tether Products”) and obtain automated responses and information about background concepts like blockchains and Bitcoin (the “Tether Products AI Chatbot”). The Tether Products AI Chatbot can also provide information about the Bitfinex cryptocurrency exchange.

These Tether Products AI Chatbot Terms supplement, and form part of the terms of service for tether.io (together with any sub-domains of our website, unless expressly excluded by their own terms and conditions, the “Site”), the current version of which is located at https://tether.io/terms/ (as may be updated in accordance with its terms, the “Site Terms”). These Tether Products AI Chatbot Terms form a contract between you, as a user of the Tether Products AI Chatbot, and Tether Operations, S.A. de C.V. (referred to herein as “we”, “us”, “our”, and “Tether Operations”), as the provider of the Tether Products AI Chatbot. By using the Tether Products AI Chatbot, you acknowledge that you have read the following information and accept the terms and conditions set out below and agree to be bound by this document. Capitalized terms used in these Tether Products AI Chatbot Terms but not defined have the meanings given to them in the Site Terms.

For clarity, in so far as you are accessing, downloading or using the Tether Products in connection with your use of the Tether Products AI Chatbot, you acknowledge that the applicable Tether Products are provided by their applicable provider pursuant to and subject to the applicable terms (each of which may be updated in accordance with its terms, the “Products Terms”), including: (a) USDT which is made available by Tether International, S.A. de C.V. pursuant to and subject to its Terms of Service, the current version of which is located at: https://tether.to/ru/legal; (b) XAUT which is made available by TG Commodities, S.A. de C.V. pursuant to and subject to its Gold Token Terms of Sale and Service, the current version of which is located at: https://gold.tether.to/legal/termsofservice; (c) USAT which is: (i) issued by Anchorage Digital Bank, N.A. pursuant to its terms, (ii) not legal tender (as described in section 5103 of title 31, United States Code), (iii) not issued, backed, approved or guaranteed by the U.S. government, (iv) not subject to the insurance protections of the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other government agency; (d) Keet which is made available by Holepunch, S.A. de C.V. pursuant to and subject to its Keet Application Terms of Use, the current version of which is located at: https://keet.io/application-terms/; (d) Tether Wallet which is made available by Tether Data, S.A. de C.V. pursuant to and subject to its Terms of Use, the current version of which is located at: https://wallet.tether.io/application-terms/. The Tether Products may change from time to time and the foregoing list may not be comprehensive. The Bitfinex cryptocurrency exchange is made available pursuant to and subject to its Terms of Service, the current version of which is located at: https://www.bitfinex.com/legal/exchange/terms/, by the applicable entity identified in those Terms of Service. 

  1. Use of the Tether Products AI Chatbot
    1. Use of the Tether Products AI Chatbot: You may use the Tether Products AI Chatbot solely in accordance with these Tether Products AI Chatbot Terms.
    2. Changes to the Tether Products AI Chatbot: We reserve the right to change or discontinue the Tether Products AI Chatbot and change these Tether Products AI Chatbot Terms, in each case at any time and without notice. Your continued access to or use of the Tether Products AI Chatbot after any changes indicates your acceptance of such changes. It is your responsibility to review these Tether Products AI Chatbot Terms regularly.
    3. Suspension or Revocation of Access: We retain the right, at our sole discretion, to suspend or revoke your access to, or use of, the Tether Products AI Chatbot, at any time and for any reason, including for: (i) violation of these Tether Products AI Chatbot Terms; (ii) scheduled maintenance or technical issues; or (iii) addressing any security concerns.
  2. Restrictions on Use of the Tether Products AI Chatbot
    1. You may only use the Tether Products AI Chatbot for information purposes in relation to the Tether Products and Bitfinex cryptocurrency exchange. Without limiting the generality of the foregoing, you will not:
  1. input any personal information in any of your queries (including, without limitation, your private keys, seed phrases or device access details);
  2. solicit any investment, portfolio management, legal, accounting, tax or other advice, or advice on trading techniques, models, algorithms, or any other schemes;
  3. access or use the Tether Products AI Chatbot in violation of any applicable law;
  4. modify, decompile, discover the source code or underlying components of the Tether Products AI Chatbot, reverse engineer, or otherwise alter the Tether Products AI Chatbot or any of its underlying components;
  5. automatically or programmatically extract data or outputs;
  6. use the Tether Products AI Chatbot responses to develop models that compete with the Tether Products, Bitfinex cryptocurrency exchange or Tether Products AI Chatbot;
  7. deliberately attempt to prompt the Tether Products AI Chatbot into generating responses which may be offensive or cause harm or reputational damage to us;
  8. access or use the Tether Products AI Chatbot in any manner that may threaten the security or functionality of the Tether Products AI Chatbot, the Site, the Tether Products or Bitfinex cryptocurrency exchange (including to introduce viruses which are malicious or technologically harmful); or
  9. access or use the Tether Products AI Chatbot to circumvent the intended features, functionality or limitations of the Tether Products, Bitfinex cryptocurrency exchange or the Site.
  10. Your Queries
    1. Responsibility for Your Queries: You acknowledge and agree that you are fully and solely responsible for any data or information that you create or submit through the Tether Products AI Chatbot (“your queries”). This includes ensuring that your queries do not violate any applicable law or these Tether Products AI Chatbot Terms, and that you have all rights, licences and permissions needed to accept these Tether Products AI Chatbot Terms and input your queries into the Tether Products AI Chatbot. 
    2. Your Rights to Queries: As between us, and subject to paragraphs 3.3 and 8, you retain your rights in and to all your queries that you submit through the Tether Products AI Chatbot.
    3. Our Right to Use Your Queries: You grant to us an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable licence to access, collect, store and use: (i) your queries; and (ii) any other data, information, records and files that we collect from your usage of Tether Products AI Chatbot, including as follows: 
  1. Develop and Enhance the Tether Products AI Chatbot: we may use the information we collect from your queries and from publicly available information to help maintain, develop, train and improve the Tether Products AI Chatbot. You acknowledge that all improvements, modifications, upgrades, features, functionality, or derivative works developed by the Tether Products AI Chatbot based on your queries shall be and remain the sole and exclusive property of Tether Operations.
  2. Collect and Produce Data: we may use the information we collect from your queries to produce data, information or other materials that are not identified as relating to you or any particular individual or company (such data, information and materials, the “Aggregated Statistical Information”).
  1. Tether Products AI Chatbot Responses
    1. Disclaimer for Accuracy: The responses provided by the Tether Products AI Chatbot are made available solely for general information purposes and Tether Operations and its Associates do not warrant the accuracy, completeness, or usefulness of this information. Users should use responses provided by the Tether Products AI Chatbot as a starting point and must verify responses independently. In addition, responses are based on general information and may not consider specific user situations. Due to the nature of the Tether Products AI Chatbot, output may not be unique and other users may receive similar output from the Tether Products AI Chatbot. You are solely responsible and liable for any and all transactions and other activity conducted through or in respect of your Tether Products and Bitfinex cryptocurrency exchange, including any transfer, financial, trading, investment or other trading activity executed through the use of your Tether Products or Bitfinex cryptocurrency exchange. The Tether Products AI Chatbot does not have access to, or control over, your Tether Products, Bitfinex cryptocurrency exchange account, private keys or digital assets.
    2. Limitations on Responses: You acknowledge and agree that, among other limitations, the Tether Products AI Chatbot has been trained on materials made available to it at a certain point in time, and the responses it provides may be based on information which is no longer accurate or up-to-date. You acknowledge and agree that neither Tether Operations nor any of its Associates shall have any obligation, implied or otherwise, to update any material provided to the Tether Products AI Chatbot or otherwise to ensure that its responses are current.
    3. DISCLAIMER OF TETHER PRODUCTS AI CHATBOT RESPONSES: YOU ACKNOWLEDGE AND AGREE THAT ANY ACCESS OR USE OF RESPONSES PROVIDED BY THE TETHER PRODUCTS AI CHATBOT IS ENTIRELY AT YOUR OWN RISK. TETHER OPERATIONS DOES NOT GUARANTEE THE COMPLETENESS, ACCURACY, OR RELIABILITY OF ANY RESPONSE. TETHER OPERATIONS, INCLUDING THROUGH THE TETHER PRODUCTS AI CHATBOT OR THE SITE, DOES NOT PROVIDE ANY INVESTMENT, PORTFOLIO MANAGEMENT, LEGAL, ACCOUNTING, TAX OR OTHER ADVICE, OR ADVICE ON TRADING TECHNIQUES, MODELS, ALGORITHMS OR ANY OTHER SCHEMES. 
    4. No Reliance: Without limiting paragraphs 4.1 to 4.3 (inclusive), you acknowledge and agree that you shall not rely on any response or output of the Tether Products AI Chatbot as the basis for any asset transfer, financial, trading, investment or other decision, and you assume all risk arising from such reliance. Responses may be inaccurate, incomplete, outdated or unsuitable for your particular circumstances, and may not reflect the most current information, policies or developments relating to the Tether Products, Bitfinex cryptocurrency exchange or the Site.
  2. Privacy StatementS
    1. Tether Operations’ Privacy Statement (available at https://tether.io/privacy/) describes how we handle personal information and data that you provide to Tether Operations when using the Site (including the Tether Products AI Chatbot). You acknowledge and agree that you have carefully read and understand Tether Operation’s Privacy Statement.
  3. Communications Not Confidential

Your use of the Tether Products AI Chatbot requires the transmission of data and information over the Internet and public networks. Accordingly, we do not, and cannot, guarantee the confidentiality, security or reliability of any communications made by you through the Tether Products AI Chatbot. DO NOT COMMUNICATE ANY PRIVATE KEYS OR OTHER SENSITIVE INFORMATION THROUGH THE TETHER PRODUCTS AI CHATBOT.

  1. Third Party Services

The Tether Products AI Chatbot may interoperate with, collect information from or provide links to information or services provided by third-parties (“Third-Party Services”). Neither Tether Operations or any of its Associates assume any responsibility for any errors or omissions in any such Third-Party Service. You acknowledge and agree that such Third-Party Services may include technical or other mistakes, inaccuracies or errors and that it is your responsibility when using such Third-Party Services to carefully review their terms and conditions, as well as their privacy policy. Tether Operations and its Associates make no representations about, accept no liability for and are not able to control, any Third-Party Services or the privacy, security, or other practices of any provider of Third-Party Services. Further, Tether Operations and its Associates neither (x) owe you any duty of care with respect to such Third Party Services, and (y) are not responsible for the accuracy or reliability of any information, data, opinions, policies, advice, or statements contained in Third-Party Services or the services offered thereby and it is your sole responsibility to review such information.

  1. Ownership

All rights (including intellectual property rights), title and interest in and to the Aggregated Statistical Information, Site, Tether Products AI Chatbot and all other materials provided by us hereunder, and any update, adaptation, translation, customisation or derivative work thereof, will remain with us (or our third-party suppliers, if applicable). The Tether Products AI Chatbot and all materials provided by us hereunder are licensed and not “sold” to you. All rights not expressly granted to you in these Tether Products AI Chatbot Terms are reserved.

  1. Representations, Warranties, Liability and Indemnities
    1. Representation and Warranty Regarding Your Queries. You represent and warrant to us that your queries:
  1. will only contain data and information in respect of which you have obtained all applicable third-party consents and permissions and otherwise have all authority, in each case as required by applicable laws, to enable us and Tether Operations to make available the Tether Products AI Chatbot and exercise our rights under these Tether Products AI Chatbot Terms;
  2. will not (i) be fraudulent, misleading or deceptive; (ii) infringe on any third-party rights, including the intellectual property rights or rights of publicity or privacy; (iii) introduce to the Tether Products AI Chatbot, the Site or any other systems any viruses or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system or data; (iv) intend to, or reasonably have the effect of, manipulating the Tether Products AI Chatbot; or (v) otherwise violate any applicable law.
  1. LIMITATION OF LIABILITY: TO THE EXTENT PERMITTED BY LAW, NEITHER TETHER OPERATIONS NOR ITS ASSOCIATES WILL BE LIABLE FOR ANY CLAIM, LOSS, OR DAMAGE ARISING OUT OF OR RELATED TO THESE TERMS OR THE TETHER PRODUCTS AI CHATBOT (INCLUDING ANY RESPONSE OR OUTPUT FROM THE TETHER PRODUCTS AI CHATBOT). THIS INCLUDES, WITHOUT LIMITATION, ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ANY OF TETHER OPERATIONS OR ITS ASSOCIATES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT ANY CLAIM MAY ONLY BE BROUGHT AGAINST TETHER OPERATIONS AND NOT ANY OF ITS ASSOCIATES.  IN ALL CASES, THE TOTAL LIABILITY OF TETHER OPERATIONS FOR ANY CLAIM FINALLY AWARDED WILL NOT EXCEED US$100. THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. YOU ARE SOLELY LIABLE FOR ANY AND ALL TRANSACTIONS AND OTHER ACTIVITY CONDUCTED THROUGH YOUR TETHER PRODUCTS AND BITFINEX CRYPTOCURRENCY EXCHANGE ACCOUNT, INCLUDING ANY TRANSFER, FINANCIAL, TRADING, INVESTMENT OR OTHER TRADING ACTIVITY EXECUTED THROUGH THE USE OF OR IN RESPECT OF YOUR TETHER PRODUCTS AND BITFINEX CRYPTOCURRENCY EXCHANGE ACCOUNT. 
  2. Indemnity Regarding Your Use of the Tether Products AI Chatbot: You will defend, indemnify and hold harmless us and all of our Associates from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties, or other costs or expenses of any kind or nature including reasonable legal and accounting fees arising out of or in connection with: (i) your queries; (ii) your breach of applicable laws or your representations or warranties hereunder; or (iii) your use of the Tether Products AI Chatbot contrary to these Tether Products AI Chatbot Terms.
  3. No Representations and Warranties. Neither Tether Operations nor any Associate makes any representations, warranties, covenants or guarantees to you of any kind and, to the extent permitted by applicable laws, we expressly disclaim all representations, warranties, covenants or guarantees, express, implied or statutory, with respect to the Tether Products AI Chatbot. The Tether Products AI Chatbot is made available strictly on an “as is” and “as available” basis and, without limiting the foregoing, without any representations or warranties regarding merchantability, fitness for a particular purpose, or non‑infringement. Tether Operations may also provide access to features or services that are identified as “beta” or pre-release. Without limiting the preceding sentences in this paragraph, you understand that such services are still in development, may have bugs or errors, may be incomplete, may materially change prior to a full commercial launch, or may never be released commercially.
  4. Acknowledgment of Risk: You acknowledge and agree that the Tether Products AI Chatbot Terms reflects a reasonable and fair allocation of risk between you and the other persons referred to herein, having regard to the nature of the Tether Products AI Chatbot including the inherent limitation of automated, algorithm-based responses. 
  5. Miscellaneous
    1. Inconsistencies: In the event of any conflict or inconsistency between these Tether Products AI Chatbot Terms, the Site Terms and the Products Terms, these Tether Products AI Chatbot Terms will prevail to the extent of such conflict or inconsistency in respect of the Tether Products AI Chatbot.
    2. Third Party Rights: To the extent that these Tether Products AI Chatbot Terms relate to the Tether Products or Bitfinex cryptocurrency exchange, these Tether Products AI Chatbot Terms may be enforced by the entity that issues or makes available the particular Tether Product and its successors and assigns or the applicable entity that you contract with for your Bitfinex cryptocurrency exchange account. Any Associate may rely on the releases and limitations of liability set out in paragraph 9.2 and may enforce the indemnity set out in paragraph 9.3. Save as set out in the preceding sentences, a person who is not a party to these Tether Products AI Chatbot Terms shall have no right to enforce any of its terms.
    3. Severability: If any provision of these Tether Products AI Chatbot Terms or any part thereof, as amended from time to time, is determined to be invalid, void or unenforceable, in whole or in part, by any court of competent jurisdiction, such invalidity, voidness or unenforceability attaches only to such provision to the extent of its invalidity, unenforceability or voidness, as the case may be, and all other terms continue in full force and effect.
